Terms of Service

1. Agreement to terms
By accessing or using Contract-as-Code ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Description of the service
Contract-as-Code provides tools that:
- Extract structured rules from collective agreements using AI
- Allow authorised users to review, approve, reject, or correct extracted rule candidates
- Validate employee payroll datasets against approved rules to identify potential discrepancies
- Generate compliance reports summarizing findings
3. Not legal advice — critical limitation
The Service does not provide legal advice. Specifically:
- Rule extraction outputs are AI-generated interpretations of agreement text, not legal opinions. They may be incomplete, inaccurate, or inapplicable to your specific situation.
- Validation findings indicate possible discrepancies between your data and the rules you have approved. They do not constitute a determination that a violation has occurred.
- No rule candidate becomes active without a human review and approval decision. You are responsible for verifying that approved rules are accurate and complete.
- Always review findings with qualified legal counsel, HR professionals, or payroll experts before taking any action.
4. Account responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Ensuring that users you invite to your organisation comply with these Terms
- Notifying us promptly of any unauthorized access to your account
5. Data handling obligations
You represent and warrant that:
- You have the legal right to upload the agreements and datasets you provide
- Where employee data is uploaded, you have complied with applicable privacy law obligations under PIPEDA, including obtaining any necessary consents or authorizations
- You will not upload special categories of sensitive personal data unless strictly necessary and permitted by applicable law
6. Applicable employment law context
The Service is designed to support compliance with provincial Employment Standards Acts, the Canada Labour Code, and applicable collective agreement obligations. Jurisdiction selection at the time of validation job submission is immutable — it determines which statutory evaluators run against your data.
Supported jurisdictions: Ontario, British Columbia, Quebec, Alberta, Federal, Nova Scotia, Manitoba, Saskatchewan.
7. Subscription and billing
Paid subscriptions are billed in advance on a monthly or per-use basis. Prices are shown in the applicable regional currency and exclude applicable taxes (GST/HST, VAT, or equivalent).
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial periods unless required by law.
8. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT RULE EXTRACTION OUTPUTS OR VALIDATION FINDINGS ARE ACCURATE, COMPLETE, OR LEGALLY SUFFICIENT FOR ANY PURPOSE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) CAD $500. WE ARE NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING PAYROLL ERRORS, TRIBUNAL CLAIMS, REGULATORY PENALTIES, OR LABOUR RELATIONS DECISIONS.
10. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.
